Subway is seeking a seasoned Lead Counsel to oversee corporate governance and legal compliance across its global portfolio of legal entities. This high-impact position is a critical member of our Legal team, providing strategic and operational guidance to ensure our domestic and international subsidiaries adhere to applicable regulations and corporate best practices. The successful candidate will demonstrate deep knowledge of corporate law, excellent organizational acumen, and the ability to build strong partnerships across departments and geographies.
You will play a vital role in maintaining corporate integrity, supporting transactions, and enabling global operations through expert governance practices — all while contributing to Subway’s exciting business transformation.
Responsibilities:
Entity Governance & Management:Ensure compliance of domestic and international subsidiaries with local legal and regulatory requirements
Manage entity lifecycle activities, including formation, maintenance, and dissolution
Oversee director and officer appointments/changes and other entity-level formalities
Corporate Records & Compliance: Maintain accurate and up-to-date corporate records (minute books, consents, resolutions)
Develop and enforce policies that support effective governance and risk management
Serve as internal subject matter expert for entity management platforms (e.g., Diligent Entities)
Cross-Functional Support & Leadership: Partner with teams in Finance, Tax, Treasury, and Compliance to support audits, intercompany agreements, and corporate initiatives
Guide and train internal stakeholders on governance procedures and responsibilities
Support corporate transactions (e.g., M&A, restructures) by coordinating due diligence and post-close integration
Team & Vendor Oversight:Lead and mentor legal support staff, including paralegals
Manage external vendors related to entity governance and technology systems
Qualifications and Experience:
Juris Doctor (JD) degree from an accredited law school
Active membership in good standing with a U.S. State Bar
5+ years of relevant legal experience, ideally with a focus on corporate governance, compliance, and entity management
Experience supporting legal and compliance needs of a multinational or franchise organization strongly preferred
Strong knowledge of U.S. and international corporate law, entity structuring, and governance best practices
Demonstrated ability to manage multiple complex projects simultaneously
Proficiency with entity management systems (e.g., Diligent Entities, GEMS) and legal documentation
Exceptional interpersonal, organizational, and written/verbal communication skills
High level of integrity and discretion when dealing with confidential information

Salary:
Estimated Salary Range: $150,000 – $180,000/year + Bonus + Benefits Final compensation will be based on experience, qualifications, geographic location, and role scope.
